1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of peerlesspeptides.com and the products and services offered by Peerless Research LLC, a Florida limited liability company operating as Peerless Peptides (“Peerless Peptides,” “we,” “us,” or “our”). By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Site or place an order.

2. Eligibility

To use the Site or purchase any product, you represent and warrant that:

• You are at least twenty-one (21) years of age.
• You are a qualified researcher, scientific professional, or otherwise lawfully authorized to acquire and use research chemicals for in-vitro laboratory research.
• You will use any product purchased solely for laboratory and in-vitro research purposes, and not for human consumption, veterinary use, food, drug, medical-device, cosmetic, or any other purpose.
• You have the legal capacity to enter into a binding contract.
• You are not prohibited by law in your jurisdiction from purchasing the products offered on the Site.

At checkout, you must explicitly attest to these facts. We rely on that attestation to fulfill your order. Misrepresenting your eligibility is a material breach of these Terms and may result in order cancellation, account termination, and reporting to applicable authorities.

3. Research Use Only; Non-Consumption Disclaimer

ALL PRODUCTS SOLD ON THIS SITE ARE FOR LABORATORY AND IN-VITRO RESEARCH USE ONLY. They are not pharmaceuticals, dietary supplements, food, cosmetics, household products, medical devices, or veterinary products. They are not sold for, and must not be used for, human or animal consumption, ingestion, injection, inhalation, topical application, or any other in-vivo administration in any form.

You acknowledge and agree that:

• The products are research chemicals intended for use only by qualified researchers in appropriately equipped laboratory settings.
• You assume full responsibility for safe handling, storage, use, and disposal of the products in accordance with applicable laws, regulations, and good laboratory practices.
• You will not redistribute, resell, or transfer the products to any party for human or animal consumption, and you will not represent any product as suitable for such use.

4. Regulatory Status

• FDA. The products and any statements about them on the Site have not been evaluated by the U.S. Food and Drug Administration. The products are not intended to diagnose, treat, cure, or prevent any disease.
• Section 503A / 503B. Peerless Peptides is a chemical supplier. We are not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act, nor an outsourcing facility as defined under Section 503B. We do not prepare, compound, or dispense drugs.
• TSCA. Some products may not appear on the Toxic Substances Control Act (TSCA) inventory listing. You are responsible for confirming TSCA compliance for your intended research use where applicable.
• Controlled substances. We do not sell controlled substances. If any product on the Site is subsequently scheduled or otherwise restricted in your jurisdiction, you are responsible for compliance with the applicable law.

5. Anonymous Checkout

We currently offer anonymous checkout. We do not require account creation to place an order. If we introduce an account system in the future, additional terms specific to account holders will be presented at sign-up and incorporated by reference into these Terms.

You are responsible for the accuracy of the information you provide at checkout, including your shipping address and contact information. We cannot be responsible for delivery failures or delays resulting from inaccurate or incomplete information.

6. Ordering, Pricing, and Payment

• Order acceptance. Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order at our sole discretion, including for reasons of supply availability, suspected fraud, eligibility concerns, or order volume disproportionate to qualified-researcher use.
• Prices. All prices are listed in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes, which will be added at checkout where required.
• Payment. We accept the payment methods listed at checkout. By submitting payment information, you represent that you are authorized to use the payment method and that the payment information is accurate.
• Order errors. Despite reasonable efforts, errors may occur (for example, an incorrect price or product description). We reserve the right to correct any error and to cancel any order placed in reliance on an error, with a full refund of any amount charged.

7. Shipping and Delivery

We ship within the United States only. Shipping methods, costs, and estimated delivery times are presented at checkout. Risk of loss passes to you when the carrier accepts the shipment. We are not responsible for delays caused by the carrier, weather, customs, or other circumstances outside our reasonable control.

We use a manufacturer-direct fulfillment model. Your order may ship directly from our manufacturer or fulfillment partner, which may delay the appearance of tracking information by up to two (2) business days after order confirmation.

8. Returns, Refunds, and Cancellations

Due to the sensitive nature of laboratory research chemicals, all sales are final once an order has shipped. Unshipped orders may be cancelled by emailing support@peerlesspeptides.com prior to dispatch. If we ship the wrong product, a damaged product, or a product that fails our manufacturer’s quality release, contact us within seven (7) days of delivery and we will work with you in good faith to resolve the issue, including replacement or refund where appropriate.

9. Intellectual Property

All content on the Site, including text, graphics, logos, product images, photographs, videos, scientific summaries, and the overall site design, is the property of Peerless Peptides or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual-property laws.

You may not reproduce, modify, distribute, transmit, display, publish, sell, license, create derivative works from, or otherwise exploit any content from the Site without our prior written consent, except that you may view and download materials for your personal, non-commercial research reference.

“Peerless Peptides” and the Peerless Peptides logo are trademarks of Peerless Peptides. All other trademarks appearing on the Site are the property of their respective owners.

10. Prohibited Uses

You agree not to:

• Use the Site or any product in violation of any applicable law, regulation, or third-party right
• Use products for human or animal consumption
• Resell, redistribute, or transfer products to any party you know or have reason to know will use them for human or animal consumption
• Misrepresent your age, identity, qualifications, or intended use
• Attempt to gain unauthorized access to the Site, our systems, or other users’ accounts
• Use automated means (bots, scrapers, crawlers) to access the Site for any purpose other than search-engine indexing in accordance with our robots.txt
• Introduce viruses, malware, or other harmful code
• Interfere with the operation of the Site, our infrastructure, or the experience of other users
• Use the Site to harass, threaten, defame, or otherwise harm any person

11. Third-Party Content and Links

The Site may contain links to third-party websites (for example, PubMed, university faculty pages, or peer-reviewed publications) and may reference third-party scientific research. We provide these links and references for informational and educational purposes only. We do not endorse, control, or assume responsibility for any third-party content. Your interactions with third-party sites are governed by their own terms and policies.

12. Disclaimers; No Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Site will be uninterrupted, error-free, or secure; that defects will be corrected; or that the Site or the servers that make it available are free of viruses or other harmful components. Scientific content on the Site is summarized from third-party research literature for reference purposes and does not constitute medical, scientific, or other professional advice.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PEERLESS PEPTIDES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply in full to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Peerless Peptides and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your access to or use of the Site
• Your purchase, possession, handling, use, or disposal of any product
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any misrepresentation you make to us

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

15. Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, pandemic or epidemic, fire, flood, accident, strikes, supply-chain disruptions, manufacturer delays, carrier disruptions, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Except as provided in Section 17, the exclusive venue for any action arising out of or related to these Terms is the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of those courts.

17. Dispute Resolution — Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH US THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS YOUR ABILITY TO BRING CLAIMS IN COURT OR ON A CLASS-ACTION BASIS.

• Informal resolution. Before filing arbitration, you agree to first contact us at legal@peerlesspeptides.com with a written description of your dispute. We will attempt in good faith to resolve the dispute within thirty (30) days.
• Arbitration. Any dispute not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in the State of Florida, or telephonically or by video at your request. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
• Class action waiver.Each party may bring claims against the other only in its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
• Exceptions. You or we may bring an individual action in small-claims court if the claim qualifies. Either party may seek injunctive or other equitable relief in court for misuse of intellectual property.
• Opt-out. You may opt out of this arbitration agreement by emailing legal@peerlesspeptides.com within thirty (30) days of your first acceptance of these Terms, with your name, address, and a clear statement that you wish to opt out of arbitration.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

19. Entire Agreement; Modifications

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Peerless Peptides regarding your use of the Site and supersede all prior or contemporaneous agreements. We may modify these Terms at any time by posting the updated Terms on the Site and updating the “Last updated” date. Continued use of the Site after the effective date constitutes acceptance of the modified Terms. Material changes will be notified by email or by a prominent notice on the Site where reasonably possible.
